End User Licence Agreement
Software and portal licence terms for authorised Haulier.AI users.

1. About this EULA
This End User Licence Agreement applies to authorised users of the Haulier.AI portal, dashboards, account areas, digital tools, forms, APIs or related software interfaces.
This EULA governs use of the software and portal only. It does not replace transport quotations, signed credit terms, subcontractor agreements, rate confirmations, order confirmations, invoices or other written trading documents.
2. Licence
Subject to this EULA and any applicable agreement, Haulier.AI grants authorised users a limited, non-exclusive, non-transferable, revocable licence to access and use the portal for legitimate business purposes connected with Haulier.AI services.
3. Accounts and credentials
You must keep login credentials secure and must not share accounts unless we expressly allow it. You are responsible for activity under your account, except where caused by Haulier.AI's breach of duty or a matter outside your reasonable control.

4. Permitted use
You may use the portal to submit, view or manage relevant business information, such as enquiries, account details, job information, documents, PODs, invoices, messages and operational updates, where available to your account type.
5. Restrictions
You must not:
- copy, modify, reverse engineer, decompile or attempt to extract source code;
- bypass security or access controls;
- access data you are not authorised to access;
- upload malware or harmful code;
- use the portal for unlawful, unsafe, fraudulent or misleading purposes;
- use automated scraping or load-testing tools without written permission;
- remove proprietary notices;
- resell or sublicense access unless expressly agreed.
6. AI-assisted features
The portal may include AI-assisted features such as email classification, job-detail extraction, document recognition, draft replies, operational summaries and issue detection. AI outputs may be incomplete or inaccurate. You must check important operational, financial, legal, safety and compliance information before relying on it.
7. Customer and contractor data
You must only upload or submit data that you are authorised to provide. You must ensure that operational details, contact details, references, documents and instructions are accurate and lawful.
8. Availability and changes
We may update, modify, suspend or withdraw portal features for maintenance, security, legal, operational or business reasons. We do not guarantee that every feature will always be available.
9. Ownership
The portal, software, AI workflows, designs, templates, documentation, know-how and related intellectual property belong to Jagelo Haulage Limited or its licensors. No ownership rights are transferred to you.
10. Confidentiality
Information visible in the portal may be confidential. You must not disclose portal information to unauthorised parties. This includes customer details, haulier details, job information, rates, documents, operational notes, invoices and system information.
11. Suspension and termination
We may suspend or terminate access if we suspect breach, misuse, security risk, non-payment, inaccurate information, unlawful activity or where access is no longer required. On termination, you must stop using the portal and may lose access to data except where we provide an export or records are required by law or agreement.
12. Liability
To the fullest extent permitted by law, the portal is provided on an "as is" and "as available" basis. We do not exclude liability that cannot be excluded by law. Any liability for transport services or paid work is governed by the relevant written agreement, not this EULA.
13. Governing law
This EULA is governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except where law requires otherwise.
